摘要公司资本是公司注册资本的简称，又可称为股本，是指由公司章程确定的全体股东认缴或实缴的出资总额。对于公司而言，公司资本是公司成立、运营的物质基础；对于债权人而言，公司资本是公司承担债务的基础。公司资本制度是公司立法的基石，也是公司建立、生存和发展的核心制度之一。因此公司资本制度的设计方向在某种程度上就决定了公司法的设计方向。由于我国传统资本制度的弊端也越来越明显，难以适应我国经济的发展的要求，为此2014年开始施行了新修正的《公司法》，这部新修正的《公司法》对于公司资本制度中做出了很大的改动，自实施以来，我国的经济也受到了很大的影响。本文将从三个方面来介绍我国公司资本制度变革中的法律问题。第一部分将会从我国公司资本制度的现状，改革的原因，改革的特点和规律，新修正公司法的相关修改及影响来分析。第二部分从我国公司资本制度设计中存在的问题来论述，第三部分提出完善我国公司资本制度的建议。33403

Title research on legal problems of institutional change in the company’s capital
Abstract
The company registered capital is short of capital, also known as equity refers to shareholders by the company's articles of association to determine the total amount subscribed or paid-in capital contribution. For company,capital is the company's inception, the material basis of operations; and for creditors, is the basis of the assumption of debt. The company capital system is the cornerstone of the company legislation, but also the company established, one of the core system of the survival and development. Therefore, the design direction of the company capital system to some extent determines the design direction of the Corporations Law. Disadvantages of the traditional system of capital has become increasingly evident, it is difficult to adapt to the requirements of China's economic development, for which in 2014 began to implement a new "Company Law", this new "Company Law" on the company undertook a major capital system reform, since the implementation of China's economy also caused a strong impact and vibration. This paper will introduce three major Capital System Transformation in China's legal issues.
